These Terms of Service govern access to and use of Redoor, including our website, software, messaging, collaboration tools, billing features, and related services. By creating an account, clicking to accept, or using Redoor, you agree to these terms and our related platform policies.

Eligibility and Account Responsibilities

You must be at least 18 years old and legally able to enter binding agreements. If you use Redoor on behalf of a business, fund, development entity, or other organization, you represent that you are authorized to bind that organization.

You are responsible for maintaining accurate account information, protecting credentials, and all activity that occurs under your account. You may not impersonate another person or misstate your identity, licensing, authority, or experience.

Platform Scope and Compliance Boundary

Redoor provides software for introductions, messaging, discovery, and project collaboration. Redoor is not a transaction intermediary and does not act as your broker, dealer, investment adviser, lender, title agent, escrow provider, money transmitter, or legal representative.

Redoor is built for active co-founders, operators, builders, contractors, and service partners. It is not designed for passive money-only participation, pooled-capital marketplaces, or off-platform deal execution.

  • No custody, settlement, or disbursement of client funds
  • No securities brokerage, financing placement, or capital-raising services by Redoor
  • No success fees, referral fees, or transaction-based compensation tied to user deals
  • No legal, tax, accounting, engineering, valuation, or investment advice

Notwithstanding the general scope above, Redoor may operate a business-purpose investor financing intake feature that collects scope-qualified loan inquiries from authenticated users and routes them to third-party private lenders for potential review. This feature is a preliminary intake and routing screen only — it does not constitute loan origination, mortgage brokerage, financing placement, a credit decision, or a commitment to lend by Redoor. These loans are business-purpose, non-owner-occupied investor loans that are not consumer mortgage loans subject to TILA/Reg Z or RESPA/Reg X. Any lending, credit, or financing relationship arising from a routed inquiry is solely between you and the applicable third-party lender. Scope determinations made through this intake are not adverse actions or credit denials under ECOA or applicable law.

User Content, Intellectual Property, and Platform License

You retain ownership of the content you submit to Redoor, including profile data, posts, messages, project updates, comments, invites, uploaded media, and related materials. You grant Redoor a limited, non-exclusive, worldwide license to host, store, reproduce, display, distribute, and process that content as necessary to operate, secure, moderate, and improve the platform.

You represent that you have the rights needed to submit content to Redoor and that doing so does not violate another party's privacy, confidentiality, copyright, trademark, or contractual rights.

Acceptable Use and Prohibited Conduct

You may use Redoor only in compliance with applicable law and our platform policies. You may not use Redoor to do any of the following:

  • Commit fraud, impersonation, phishing, spam, scraping, or manipulative engagement practices
  • Harass, threaten, stalk, intimidate, defame, or exploit another person
  • Post discriminatory housing language, unlawful steering content, or other illegal targeting criteria
  • Advertise guaranteed returns, unlicensed brokerage, or money-only investment participation
  • Upload malware, attempt unauthorized access, or interfere with platform security controls
  • Share third-party confidential information, wiring instructions, tax IDs, or personal data without permission

External Transactions and Independent Due Diligence

Any agreement, payment, ownership transfer, loan, investment, construction contract, brokerage engagement, or other legal arrangement occurs outside Redoor and is solely between the relevant parties and their advisors.

You are responsible for verifying identity, authority, licensing, economics, property conditions, entity standing, title, references, and legal compliance before entering any off-platform relationship or transaction. Redoor does not guarantee outcomes, counterparties, opportunities, or project economics.

Paid Plans, Renewals, and Billing

Paid subscriptions purchase access to software features and support tiers only. They do not purchase brokerage, escrow, transaction execution, placement services, or guaranteed introductions.

If you subscribe to a paid plan, you authorize recurring charges on the billing interval displayed at checkout until you cancel. Billing is processed by Stripe under Stripe's terms. Your current plan, renewal timing, payment method, and available cancellation options are shown in your billing settings or the Stripe customer portal.

Unless otherwise required by law or expressly stated at purchase, subscription fees are non-refundable once a billing period begins. We may change plan features or pricing with advance notice where legally required.

Suspension, Termination, and Service Changes

We may investigate violations, remove content, limit access, suspend features, or terminate accounts when we believe it is necessary to protect users, enforce these terms, respond to legal obligations, or preserve the integrity of the platform.

We may change, improve, discontinue, or replace features over time. Some features may depend on third-party providers and may be unavailable in certain jurisdictions or during maintenance, incidents, or outages.

Disclaimers and Liability Limits

Redoor is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

To the fullest extent permitted by law, Redoor is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for losses arising out of user conduct, external transactions, regulatory issues, failed deals, or reliance on user-submitted content.
